A preliminary S-1 counts; final pricing and SEC approval are not required. Confidential submissions, leaked documents, and announcements or news reports without a publicly accessible S-1 on EDGAR do not count.
The IPO itself does not need to occur by the deadline. A subsequent postponement or cancellation does not reverse a qualifying YES. Otherwise, resolves NO.
