Specifically a US SECURITIES class action lawsuit, such as offering unregistered securities, misleading statements to investors. Class has to be certified in a court, not just a lawsuit is brought. Lawsuits not brought under US secutities law don't count. There are two main securities laws that DO count, the 1933 Act and the 1934 Act.
