**AGREEMENT FOR LIVE STREAM ANNOUNCEMENT**

THIS AGREEMENT (hereinafter referred to as the "Agreement") is entered into this 5th day of June, 2023, by and between the undersigned party, hereinafter referred to as "Party A," and Yoav T., hereinafter referred to as the "Talent."

WHEREAS, Party A desires the Talent to perform a live stream announcement and the Talent agrees to such performance, subject to the terms and conditions set forth herein:

**1. TERMS OF AGREEMENT:**

The Talent agrees to perform a live stream announcement on June 12, 2023, during which the Talent shall make a public declaration about his decision regarding the implications of focusing on the manifold market on his job search.

**2. PERFORMANCE:**

The Talent shall be prepared to conduct the live stream on June 12, 2023, at a time mutually agreed upon by both parties. The Talent shall make his decision clear, articulate, and free of ambiguity. The Talent is to be truthful and sincere during this announcement.

**3. COMPENSATION:**

As complete compensation for the Talent's performance under this Agreement, Party A shall provide 1$. Payment will be delivered within ten (10) business days after the performance has occurred.

**4. INDEPENDENT CONTRACTOR:**

The Talent acknowledges and agrees that he is an independent contractor and not an employee of Party A. This Agreement shall not create a partnership, joint venture, agency, or employment relationship between the parties.

**5. CONFIDENTIALITY:**

The Talent agrees to maintain the confidentiality of any non-public information that he receives in connection with this Agreement, until the live stream announcement has taken place.

**6. INDEMNIFICATION:**

Each party agrees to indemnify and hold harmless the other party against any and all claims, losses, damages, liabilities, penalties, punitive damages, expenses, reasonable legal fees and costs of any kind or amount whatsoever, which result from the negligence or breach of this Agreement by the indemnifying party, its officers, directors, employees, agents, contractors, or assignees.

**7. GOVERNING LAW:**

This Agreement shall be governed by and construed under the laws of Zambia.

**8. ENTIRE AGREEMENT:**

This Agreement contains the entire understanding of the parties with respect to the subject matter hereof and supersedes all prior agreements and understandings, oral or written, between the parties hereto with respect to the subject matter hereof.
